Announcement of Continental Holdings Corp. Public Listing on Taiwan Stock Exchange

Continental Holdings Corp. (CHC) will be publicly listed on the Taiwan Stock Exchange with the stock code of 3703 on April 8. On the same day, CEC will terminate its listing (trading has stopped since March 26).

A CEC special shareholders meeting on November 2, 2009 approved the establishment of “Continental Holdings Corp.” (CHC) via transfer of shares in accordance with the Business Mergers and Acquisitions Act and other relevant laws and regulations. CHC thereupon became a holding company owning 100% of CEC’s shares via a one-to-one share swap, and CHC will continue on as a publicly listed company. The original shareholders of CEC now hold shares in CHC, and their equity is completely secure.

This case has been approved in Financial Supervisory Commission letter Chin-Kuan-Cheng-Fa-Tzu No. 0980066693 of February 1, 2010 and Taiwan Stock Exchange Corporation letter Tai-Cheng-Shang-Tzu No. 0990003494 of February 2, 2010. Accordingly, CEC’s board of directors determined in accordance with Article 51-3 of the Operating Rules of the Taiwan Stock Exchange Corporation and other relevant regulations that April 8, 2010 will be the share exchange baseline date. Starting from the share exchange baseline date, CHC will be listed on the Taiwan Stock Exchange, and CEC will terminate its listing. The original shareholders of CEC thus will become CHC’s shareholders as of that date.
